SentinelOne Event Attendee Terms and Conditions

THE FOLLOWING ATTENDEE TERMS AND CONDITIONS ("TERMS") GOVERN YOUR REGISTRATION AND PARTICIPATION IN THE SERVICENOW EVENT FOR WHICH YOU ARE REGISTERING (THE "EVENT"). BY CLICKING THE "I ACCEPT" OR "SUBMIT" BUTTON DURING THE REGISTRATION PROCESS, OR BY ATTENDING OR PARTICIPATING IN THE EVENT IN ANY CAPACITY, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS AND REPRESENT THAT YOU HAVE READ AND UNDERSTAND ALL THE PROVISIONS HEREIN. YOU MUST NOT SELECT THE "I ACCEPT" OR "SUBMIT" BUTTON, OR ATTEND OR PARTICIPATE IN THE EVENT IN ANY CAPACITY IF YOU DO NOT AGREE TO THESE TERMS. AS USED HEREIN, "YOU" AND "YOUR" MEANS THE INDIVIDUAL REGISTERING FOR OR PARTICIPATING IN THE EVENT, AND THE COMPANY OR OTHER LEGAL ENTITY BY WHICH YOU ARE EMPLOYED OR FOR WHICH YOU ARE ACCEPTING THESE TERMS. THE "EFFECTIVE DATE" OF THESE TERMS SHALL BE THE DATE THAT YOU CLICK "I ACCEPT" OR "SUBMIT." THESE TERMS ARE BETWEEN YOU AND SENTINELONE, INC. AND ITS AFFILIATES, SUBSIDIARIES, AGENTS AND SERVICE PROVIDERS ("SENTINELONE").

  1. PAYMENT, CANCELLATION AND SUBSTITUTIONS. Payment, if any, must be provided in the manner and at the times as stated for the Event. SentinelOne reserves the right to cancel your registration without notice for failure to pay as required. Cancellations and substitutions are subject to the dates and fees specified in the applicable Sponsorship Agreement. Cancellation of travel reservations and hotel reservations is your exclusive responsibility. SentinelOne is not responsible for any damages, direct or indirect, resulting from any canceled registration or impermissible substitution. Event registration is subject to availability.

  2. FORWARD-LOOKING STATEMENTS. Presentations at the Event may contain "forward- looking" statements that are based on our management's beliefs and assumptions and on information currently available to management. We intend for such forward-looking statements to be covered by the safe harbor provisions for forward-looking statements contained in the U.S. Private Securities Litigation Reform Act of 1995. Forward-looking statements include information concerning our possible or assumed strategy, future operations, financing plans, operating model, financial position, future revenues, projected costs, competitive position, industry environment, potential growth opportunities, potential market opportunities, plans and objectives of management and the effects of competition on our business.   3. EVENT MANAGEMENT.

    1. Badges. You may be required to present identification and pick up a badge at the Event check-in area before entering the Event. If badges are required for admittance, they must be worn and visible at all times while you are at the Event and during any activity associated with the Event. Badges may not be shared or exchanged with any person.

    2. Government Attendees Government officials, employees of government agencies or state-owned or state-controlled institutions/entities, and employees of public international organizations (“Government Attendees”) may be asked to confirm their registration as a government employee at the Event and present their government identification. Each Government Attendee is responsible for all travel expenses related to the Event, including but not limited to: travel to and from the Event location, hotel accommodations, and/or incidental expenses incurred during or in connection with the Event. All such expenses will be borne by the Government Attendee and not SentinelOne. SentinelOne’s offer of an Event ticket does not constitute any expectation of payment to or by SentinelOne, nor does it create any actual or implied claim against SentinelOne. Accepting the invitational program and attending the Event does not create an actual or implied future obligation on behalf of any government entity. SentinelOne complies with all applicable anti-corruption and anti-bribery laws, rules, and regulations, including the U.S. Foreign Corrupt Practices Act, Government gifts and entertainment laws, the UK Bribery Act 2010, and any applicable commercial bribery laws. SentinelOne prohibits offering or providing anything of value to government officials or private sector personnel for an improper purpose, including to improperly influence a government official or any other person in their official or professional capacity. If you are a Government Attendee, you may be required to complete a certification at registration regarding your compliance with laws, regulations, and employer or other policies or rules applicable to you, among other things. Where required, your Event registration will not be processed without this certification. If the Event does not require registration in advance, you certify that you have taken all steps required to attend and receive all items of value provided as part of the Event in a manner that complies with laws, regulations, and employer or other policies or rules applicable to you, including, as applicable, obtaining the approval of your supervisor and/or a relevant ethics or legal office, disclosing or declaring your attendance and receipt of all items of value provided; and/or fulfilling any other requirements associated with your attendance and receipt of all items of value provided. You further certify that you are not aware of any actual or potential conflict of interest that would prohibit your attendance the Event and receipt of all items of value provided.

    3. Security and Property. SentinelOne reserves the right to take any security measures that it deems necessary to increase the safety of attendees and exhibitors without prior notice. You should not leave bags or other property unattended. Unattended property may be removed from the Event venue, and SentinelOne will not be responsible for any loss or damage of any kind relating to such removal. Event management may conduct security checks at any time during the Event, including, but not limited to, inspections or scans of any attendees or exhibitors person and/or their clothing, bags, containers and other items. Firearms, explosives and other weapons and hazardous materials that could be used to cause injury to another attendee are strictly prohibited at the Event venue and related activities.

    4. Minimum Age. You must be at least 21 years of age to attend the Event except as agreed in writing from SentinelOne.

    5. Event Conduct.

      1. SentinelOne is dedicated to providing a respectful environment and harassment-free conference experience for everyone, regardless of gender, gender identity and expression, age, sexual orientation, disability, physical appearance, body size, race, ethnicity, religion (or lack thereof), technology choices, and/or other personal characteristics.

      2. SentinelOne does not tolerate harassment at its Event in any form from participants, sponsors, and/or any other attendees. All Event attendees are expected to refrain from any harassing behavior, and attendees who violate these rules may be sanctioned or expelled from the Event without a refund at the discretion of the conference organizers.

      3. Harassment includes, amongst other behavior, offensive verbal comments related to gender, gender identity and expression, age, sexual orientation, disability, physical appearance, body size, race, ethnicity, religion, technology choices, sexual images in public spaces, deliberate intimidation, stalking, following, harassing photography or recording, sustained disruption of talks or other events, inappropriate physical contact, and unwelcome sexual attention. In addition, sexual language, imagery, and/or materials are not appropriate for any conference venue, including talks, workshops, parties, Twitter and other online media.

      4. If you are being harassed, notice or believe that someone else is being harassed, or have any other concerns, please contact a member of Event staff immediately. Event staff can be identified as they’ll be wearing branded clothing and/or badges.

      5. Event staff will be happy to help participants contact hotel/venue security or local law enforcement, provide escorts, or otherwise assist those experiencing harassment to feel safe for the duration of the conference. SentinelOne values your attendance.

      6. SentinelOne expects participants to follow these rules at conference and workshop venues and conference-related social events.

      7. If you wish to report a violation of our these conduct terms or need assistance, please speak to our Event staff.

    6. Event Planning. The Event schedule is subject to change without notice. SentinelOne does not guarantee the attendance of any exhibitor or speaker, or that any scheduled event will take place, particularly in the event of any natural or public disaster, insufficient participation or sponsorship, government regulation or shutdown, necessary venue construction, labor controversy, civil disturbance, acts or threats of terrorism, armed conflict or similar reasons beyond its reasonable control. SentinelOne will not be liable and no reimbursement will be made in the event of a cancellation or modification of times, dates, sessions or events.

  4. PERSONAL INFORMATION. SentinelOne will handle your personal information collected during registration in accordance with the SentinelOne Privacy Policy.

    1. Registration Information. You agree that SentinelOne may use your registration information to send you updates and surveys regarding the Event. You also agree that SentinelOne may share your personal information with its third-party service providers to process your registration.

    2. Sharing Your Registration Information. By attending a session sponsored by a presenter or partner, whether as a virtual participant or as an in-person attendee, you authorize SentinelOne to share your registration information with that particular presenter or partner and agree to receive communications from such presenter or partner, which are subject to that presenter’s or partner’s privacy practices, including such entity’s privacy statement or policy. If you attend a live event you will be provided with a badge. Badges may contain tags to record your participation in break-out sessions and other activities during the Event. By permitting a presenter, partner or exhibitor to scan your badge during the Event, you authorize SentinelOne to share your registration information with that particular presenter, partner or exhibitor and agree to receive communications from such presenter, partner or exhibitor. Communications from a presenter, partner or exhibitor will be subject to that entities privacy practices, including its privacy statement or policy. Attendees that are government employees or members of the press may be asked for identification. SentinelOne may also track your attendance to sessions, exhibit booths and other activities during the Event using web-enabled technologies, including but not limited to, Bluetooth beacons and near field communications technologies (collectively, "Web-Enabled Technologies"). SentinelOne uses Web-Enabled Technologies to gauge interest in sessions, exhibit booths and other activities by Event attendees as well as communicate with you regarding SentinelOne products and services during the Event. SentinelOne may also use Web-Enabled Technologies after the Event if you opted-in to receive such communication.

    3. Recordings. You acknowledge and agree that the Event is a public event, that your appearance and actions inside and outside the venue where the Event occurs are public in nature. By attending the Event, you give your express consent to SentinelOne and its agents to photograph and record the Event and activities related to the Event in visual and audio media (“Recordings”). You grant to SentinelOne an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to use, transcribe, modify, perform, reproduce, display, distribute and transmit in any form and for any purpose your name, company name, Recordings and other reproductions of your likeness (collectively, your "Image") at the Event in connection with any advertising or promotional content and materials, and for any other lawful purpose including by posting on public websites without any compensation to you. However, SentinelOne is not obligated to make any use of your Image, or exercise any of the rights granted to it. You also agree that your Image may appear in photos of the Event that are made available to you, other attendees of the Event, and the public, and SentinelOne may retain and distribute those photos.

  5. ASSUMPTION OF RISK AND RELEASE OF LIABILITY. You understand that participation in the Event is voluntary and carries with it certain inherent risks that cannot be eliminated regardless of the care taken to avoid injuries. You hereby agree to indemnify, release and hold harmless SentinelOne, its officers, directors, employees, vendors, partners, agents and contractors from any and all alleged and/or actual liability, claims, actions, lawsuits, damages and losses of any kind, including attorneys fees, which arise out of or result from your attendance at and participation in the Event and ancillary activities, including but not limited to property damage and personal injuries, illness, death or other physical loss, whether or not foreseeable.

  6. AGREEMENT. These Terms and all claims arising hereunder will be governed by and construed in accordance with the laws of the State of New York. Any judicial action with respect to the Event or these Terms shall be filed exclusively in the federal or state courts located in the County of New York, New York. You hereby irrevocably waive any and all claims and defenses you might otherwise have in any action or proceeding in any of such courts based upon any alleged lack of personal jurisdiction, improper venue, forum non conveniens or any similar claim or defense. If any provision of these Terms is for any reason found to be unenforceable, the remainder of these Terms will continue in full force and effect to the fullest extent permitted by law. These Terms and their incorporated documents constitute the complete and exclusive understanding and agreement of the parties and supersede all prior understandings and agreements, whether written or oral, with respect to the subject matter hereof.

  7. MODIFICATION. SentinelOne reserves the right to change the policies set forth in these Terms without prior notice, and retains sole discretion to deny entry to the Event to anyone for any reason.
